1. Acceptance of These Terms

These Terms of Service ("Terms") are a binding agreement between you and Beya Finance ("BEYA", "we", "us", or "our") and govern your access to and use of our website, mobile app, and related services (together, the "Services"). By creating an account, joining our waitlist, or otherwise using the Services, you agree to these Terms and to our Privacy Policy.

If you do not agree to these Terms, do not use the Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. You may use the Services only where they are available and only in compliance with applicable laws. The Services are not offered to persons subject to sanctions or located in restricted jurisdictions.

3. The Services

BEYA provides multi-currency dollar accounts and cross-border payment features built on stablecoin rails, which may include receiving, holding, sending, spending, and earning on US dollar balances. Features vary by country and may change, launch, or be withdrawn over time.

Certain regulated functions — including payment processing, card issuance, custody, and the transfer of digital assets — are provided by third-party licensed providers, not by BEYA. Your use of those functions is also subject to the providers' own terms.

4. Your Account and Security

• You are responsible for the accuracy of the information you provide and for keeping it up to date.
• You are responsible for safeguarding your login credentials, devices, and any recovery phrase, and for all activity under your account.
• Notify us promptly of any unauthorised access or suspected security breach.

5. Identity Verification

To comply with know-your-customer (KYC), anti-money-laundering (AML), and sanctions requirements, we and our partners may require you to provide identifying information and documents before or during your use of the Services. We may refuse, limit, suspend, or close access where verification cannot be completed or where we are required to do so by law.

6. Acceptable Use

You agree not to use the Services to:

• Break any law or regulation, or facilitate money laundering, fraud, or terrorist financing;
• Infringe the rights of others or transact in illegal goods or services;
• Circumvent, probe, or disrupt the security or integrity of the Services; or
• Provide false information or impersonate any person or entity.

7. Fees

Fees, limits, and exchange rates applicable to the Services will be disclosed to you before you transact and may be updated from time to time. You are responsible for any taxes arising from your use of the Services.

8. Third-Party Providers

The Services rely on banking, payment, card-network, custody, and blockchain-infrastructure providers. We are not responsible for the acts or omissions of these third parties, and their availability may affect the Services. Links or integrations with third-party products do not imply our endorsement.

9. Digital Assets and Risk

Some features settle using stablecoins or other digital assets. Digital assets carry risks, including price volatility, network and smart-contract failures, and irreversibility of on-chain transactions. Any yield or rewards are not guaranteed, may vary, and may be subject to additional terms. Nothing in the Services is investment, legal, tax, or financial advice.

10. Intellectual Property

The Services, including all software, content, and trademarks, are owned by BEYA or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You may not copy, modify, distribute, or reverse-engineer any part of the Services except as permitted by law.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by law, BEYA and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the fees you paid to us in the three (3) months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold BEYA harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party right.

14. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or applicable law, or where required for legal, security, or risk reasons. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

15. Changes to the Services or Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or an in-app notice and update the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The courts located in San Francisco, California will have jurisdiction over any dispute, except where applicable law gives you the right to bring proceedings in your place of residence.
